Terms of Use

1. Eligibility

You represent and warrant that:

• you have the legal power and authority to enter into these Terms;
• you will comply with these Terms and all applicable laws, regulations, rules, and ordinances;
• all information you provide to us is true, accurate, current, and complete; and
• if you use the Services on behalf of an entity, neighborhood organization, association, municipality, organizer group, or other legal person, you have authority to bind that party.

You must be at least 18 years old to create an account, publish listings, or organize events.

2. Description of the Services

City Wide Finds provides an online platform that may enable users to:

• search for garage sales, yard sales, rummage sales, estate sales, moving sales, and similar local listings;
• browse listings on a map or through search and filtering tools;
• save favorites, add notes, and create routes;
• create, edit, publish, manage, archive, and remove sale listings;
• organize or participate in neighborhood, block-wide, or city-wide sale events;
• upload photos, descriptions, addresses, dates, categories, participant data, and related materials; and
• access blog posts, guides, informational resources, and related content.

City Wide Finds is a platform provider only. Except where we expressly state otherwise in writing, we do not own, control, inspect, verify, warrant, endorse, broker, auction, distribute, price, fulfill, or guarantee any sale listing, event, item, seller, buyer, organizer, participant, transaction, location, or third-party offering.

3. Account Registration and Security

Certain features may require account registration. You agree to:

• provide accurate, complete, and current information;
• maintain and promptly update your information;
• maintain the confidentiality of your login credentials;
• not share your account with others or permit unauthorized access;
• notify us promptly of any suspected unauthorized access, compromise, or security incident; and
• accept responsibility for all activities that occur under your account.

We reserve the right, in our sole discretion and without liability, to suspend, restrict, disable, or terminate accounts, usernames, credentials, or access privileges at any time for any lawful reason, including suspected fraud, abuse, policy violations, or security concerns.

4. User Content

“User Content” means any content, materials, data, information, media, files, text, images, graphics, descriptions, listings, addresses, dates, participant rosters, CSV uploads, notes, comments, suggestions, or other materials that you upload, submit, post, publish, transmit, store, or otherwise make available through the Services.

You retain whatever ownership rights you may have in your User Content, subject to the rights granted to us in these Terms.

You hereby grant to City Wide Finds a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to host, store, reproduce, format, modify for technical purposes, adapt, translate, display, perform, publish, distribute, cache, index, analyze, use, and otherwise exploit your User Content as necessary or useful to operate, provide, improve, secure, market, and support the Services.

You represent and warrant that:

• you own or control all rights necessary to submit and authorize use of the User Content;
• your User Content is not false, misleading, deceptive, or unlawful;
• your User Content does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, proprietary, contractual, or other rights;
• your User Content does not contain malware, malicious code, hidden scripts, or harmful material; and
• your User Content complies with these Terms and all applicable laws.

We have no obligation to pre-screen, verify, monitor, or retain User Content, but we may remove, edit, refuse, disable, or preserve User Content at any time in our sole discretion.

5. Public Listings; Location Disclosure; Assumption of Risk

The Services may permit users to publish real-world addresses, mapped locations, event pages, schedules, photos, and item descriptions. By choosing to publish such information, you understand and agree that:

• such information may become publicly visible;
• members of the public may visit the listed location in reliance on your posting;
• search engines and third parties may cache, copy, archive, or index public pages;
• public content may remain available in backups, caches, archives, screenshots, or third-party services even after deletion; and
• you assume all risks associated with publishing a real-world address, event, route, or other location-linked content.

You are solely responsible for deciding what information to publish and for evaluating the consequences of publication.

6. Prohibited Conduct

You agree not to, and not to assist or encourage others to:

• post false, misleading, fraudulent, inaccurate, or bait-and-switch listings or events;
• impersonate any person or entity or misrepresent your affiliation or authority;
• list stolen goods, counterfeit goods, contraband, recalled items, illegal items, hazardous materials, regulated products, or any item whose sale, transfer, or advertisement is prohibited by law;
• post content that is defamatory, obscene, pornographic, exploitative, harassing, abusive, hateful, discriminatory, threatening, invasive of privacy, or otherwise objectionable;
• violate any law, permit requirement, HOA rule, zoning restriction, signage rule, tax obligation, or municipal ordinance;
• infringe intellectual property rights, privacy rights, publicity rights, or other legal rights;
• upload malware, spyware, malicious code, bots, scripts, or harmful technologies;
• scrape, crawl, spider, harvest, copy, mirror, frame, data-mine, or index the Services or content through automated means except as expressly authorized by us in writing;
• bypass, interfere with, or defeat security measures, authentication systems, access controls, rate limits, robots exclusions, or technical restrictions;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from non-open portions of the Services except to the extent such restriction is prohibited by law;
• interfere with or disrupt the operation, integrity, performance, or security of the Services;
• collect, store, or misuse personal information about other users without lawful authority;
• use the Services for spam, phishing, unsolicited promotions, deceptive marketing, or abusive lead generation; or
• use the Services in any manner that could expose City Wide Finds or others to liability, harm, reputational damage, or regulatory risk.

7. Marketplace Disclaimer; No Transaction Participation

City Wide Finds is not a buyer, seller, reseller, consignor, broker, dealer, auctioneer, shipper, insurer, warehouse operator, payment processor, escrow agent, or party to transactions between users and third parties unless expressly stated otherwise in writing.

Any meeting, visit, communication, donation, purchase, sale, exchange, pickup, attendance, or transaction arising out of a listing or event is solely between the relevant parties. We do not guarantee:

• that a listing or event is accurate, current, complete, lawful, or safe;
• that any item exists, is authentic, is properly described, is fairly priced, or is fit for any purpose;
• that a seller has title or the right to dispose of any item;
• that a buyer or attendee will act lawfully, respectfully, or safely;
• that any sale, event, or pickup will occur as described; or
• that any dispute can or will be resolved through the Services.

You use the Services and engage with third parties entirely at your own risk.

8. Safety; Real-World Interactions; Local Compliance

Users are solely responsible for complying with all applicable federal, state, local, and municipal laws, rules, ordinances, permits, HOA restrictions, zoning rules, taxation requirements, consumer-protection obligations, signage requirements, parking restrictions, nuisance rules, occupancy restrictions, and safety obligations in connection with their listings, events, attendance, conduct, and transactions.

City Wide Finds does not provide legal, tax, insurance, permitting, public safety, or compliance advice.

9. Fees; Promotions; Future Monetization

Unless otherwise expressly stated, use of the Services may be offered free of charge. We reserve the right, at any time and in our sole discretion, to introduce, change, suspend, or discontinue fees, subscriptions, premium tools, promoted listings, sponsorships, featured placements, organizer tools, advertisements, or other monetization features.

If paid features are offered, additional billing, payment, refund, renewal, and promotional terms may apply.

10. Intellectual Property

The Services, including all software, code, design, layout, databases, compilations, trademarks, service marks, logos, text, graphics, interfaces, and other materials provided by or on behalf of City Wide Finds, are owned by or licensed to City Wide Finds and are protected by intellectual property and other laws.

Except for the limited license expressly granted by these Terms, no right, title, or interest in the Services is transferred to you.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purposes.

11. Feedback

If you submit suggestions, ideas, proposals, recommendations, enhancement requests, corrections, or other feedback regarding the Services, you grant City Wide Finds a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable right to use, disclose, reproduce, modify, adapt, publish, create derivative works from, distribute, and otherwise exploit such feedback for any purpose without notice, attribution, or compensation.

12. Copyright and Takedown Notices

If you believe that content available through the Services infringes your copyright, you may submit a notice to [email protected] containing:

• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing material and its location on the Services;
• your contact information;
• a statement of good-faith belief that the use is unauthorized;
• a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and
• your physical or electronic signature.

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

13. Third-Party Services and Content

The Services may display, embed, or integrate with third-party maps, geocoding tools, routing tools, hosting services, analytics products, communication tools, advertisements, APIs, or other content and services. We do not control and are not responsible for third-party services or content, and your use of third-party offerings may be subject to separate terms and privacy policies.

14. Availability; Beta Features; Changes to the Services

We may modify, suspend, discontinue, restrict, or remove all or any part of the Services at any time, with or without notice and without liability. We do not guarantee that the Services will always be available, uninterrupted, secure, timely, or error-free.

From time to time we may offer experimental, beta, early-access, or preview features. Such features may be incomplete, unstable, or modified or withdrawn at any time.

15. Reservation of Rights; Monitoring; Enforcement

We reserve all rights not expressly granted in these Terms. We may, but have no obligation to, monitor use of the Services, investigate violations, cooperate with law enforcement, preserve records, and take any action we deem appropriate to protect the Services, users, or third parties.

16. Termination

We may, in our sole discretion and without liability, suspend, restrict, terminate, or permanently disable your access to the Services, remove content, deactivate accounts, or block IP addresses or devices at any time, with or without notice, for any reason or no reason, including suspected violation of these Terms, fraud, abuse, security concerns, legal risk, or prolonged inactivity.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including provisions relating to ownership, licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

17. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITY WIDE FINDS AND FIELD CRAFT LABS, LLC DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.

WITHOUT LIMITING THE FOREGOING, CITY WIDE FINDS DOES NOT WARRANT THAT:

• the Services will meet your requirements or expectations;
• the Services will be uninterrupted, timely, secure, or error-free;
• listings, event pages, routes, map displays, addresses, descriptions, filters, or other content will be accurate or reliable;
• defects or errors will be corrected; or
• the Services or servers are free of viruses or other harmful components.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CITY WIDE FINDS, FIELD CRAFT LABS, LLC, OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CITY WIDE FINDS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US $100.00), OR (B) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO CITY WIDE FINDS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

19. Indemnification

You agree to defend, indemnify, and hold harmless City Wide Finds, Field Craft Labs, LLC, and their respective members, managers, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, demands, suits, actions, proceedings, investigations, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or relating to:

• your access to or use of the Services;
• your User Content;
• your listings, events, conduct, attendance, transactions, communications, or interactions with third parties;
• your violation of these Terms;
• your violation of applicable law; or
• your infringement, misappropriation, or violation of any rights of another person or entity.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in that defense.

20. Governing Law; Venue; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction and venue of such courts.

21. Injunctive and Equitable Relief

You acknowledge that unauthorized use of the Services, misuse of intellectual property, scraping, circumvention of technical protections, or violation of certain provisions of these Terms may cause irreparable harm for which monetary damages may be inadequate. Accordingly, we may seek injunctive, equitable, or other extraordinary relief in any court of competent jurisdiction, in addition to any other remedies available at law or in equity.

22. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including by email, in-app notifications, SMS where enabled and consented to, or notices posted through the Services. You agree that such communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

23. Changes to These Terms

We may revise these Terms from time to time in our sole discretion. When we do, we will post the revised Terms and update the “Last Updated” date above. If we determine that changes are material, we may provide additional notice by email or through the Services.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms to the extent permitted by law.

24. General Provisions

These Terms, together with any policies, notices, guidelines, or supplemental terms expressly incorporated by reference, constitute the entire agreement between you and City Wide Finds regarding the Services and supersede all prior or contemporaneous understandings relating to the same subject matter.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, sale of assets, or other corporate transaction.
